Terms of Service

1. Acceptance of Terms

By accessing or using Oqren's website, APIs, or database hosting services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, please do not access or use the Services.

2. Description of Services

Oqren provides managed database hosting and infrastructure services, including but not limited to:

• Managed PostgreSQL database instances
• Automated backups, replication, and failover
• Global edge network access
• REST and GraphQL API endpoints
• Developer dashboard and monitoring tools

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized account access at security@oqren.com
• Ensuring your account information remains accurate and up to date

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Store, transmit, or process illegal content
• Infringe on intellectual property rights of any party
• Launch denial-of-service attacks or other malicious activities
• Attempt to gain unauthorized access to our systems or other customers' data
• Resell or sublicense the Services without prior written consent
• Store sensitive personal data (e.g., health records, financial data) without appropriate safeguards

We reserve the right to suspend or terminate accounts found in violation of this acceptable use policy without prior notice.

5. Fees and Payment

Certain features of the Services are subject to fees as described in our pricing page. By selecting a paid plan, you agree to:

• Pay all applicable fees on a recurring basis as specified
• Provide valid payment information and keep it current
• Authorize us to charge your payment method on the billing cycle

All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change pricing with 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

6. Data Ownership and License

Your data is yours. You retain all ownership rights to the data you store in your databases. By using the Services, you grant Oqren a limited, non-exclusive license to store, process, and transmit your data solely to provide the Services to you.

We will not access, use, or disclose your data except as required to provide the Services, comply with legal obligations, or with your explicit permission. See our Privacy Policy for details.

7. Service Level Agreement

We target 99.9% monthly uptime for all managed database instances. In the event of downtime exceeding this threshold, customers on paid plans may be eligible for service credits as follows:

Credits must be requested within 30 days of the incident and are applied to future billing cycles.

8. Intellectual Property

The Services, including all software, interfaces, documentation, and content provided by Oqren, are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of our Services, nor reverse-engineer or extract source code from our software.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICES AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OQREN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OQREN IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Oqren and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. Upon termination:

• Your access to the Services will be revoked immediately or at the end of the current billing period
• We will retain your data for 30 days following termination, after which it will be permanently deleted
• You may export your data at any time during the 30-day retention period

We may suspend or terminate your account immediately for violations of the Acceptable Use policy or for non-payment of fees.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by applicable law.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on this page with an updated "Last updated" date. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
